The following terms apply to the use of the Alloy Services by music supervisors (whether operating independently or as part of, or on behalf of, a larger organisation) and shall form part of the Terms of Use. Terms not otherwise defined herein shall have the meaning given to them in the Terms of Use.
1. Creating an account
1.1. To create an account to use the Alloy Services as a music supervisor, please get in touch with us at hello@alloy.music.
1.2. By creating an account to use the Alloy Services, you are confirming that you are over the age of 18. When you create an account to use the Alloy Services, you must provide us with accurate information, in good faith, and you agree to keep your information updated if it changes.
2. Licence to use the Alloy services
2.1. Subject to the payment of the relevant subscription fees (where applicable), we grant you a limited licence to access and use the Alloy Services, and to view the Content embodied therein, to the extent such Content is designated for access by music supervisors, solely in connection with activities reasonably necessary to perform your professional duties as a music supervisor. In the event of any dispute as to whether the use of the Alloy Services is within the remit of a music supervisor’s professional duties, our decision shall be final.
2.2. Third party content included as part of the Alloy Services is licensed to you either under these Terms or through such third-party terms and conditions that will be made known to you as and when they become relevant.
3. Pricing and payments
3.1. The cost of your subscription will be made clear to you prior to you being required to make any payments to us, we shall additionally notify you via email of your subscription fee(s) once payment is received. You agree to pay the subscription fees at the rates notified to you at the time you purchase a subscription to the Alloy Services. If you later request us to change your subscription, you agree to pay the new price notified to you in writing.
3.2. The subscription fees will be charged to your payment method for the price listed for your relevant subscription tier at the point of sale (subject to paragraph 3.4 below). Where your subscription for the Alloy Services is subject to automatic renewal, you agree that we will charge the payment method on file on the first day of each billing period for the subscription, and if the payment method on file becomes invalid due to an expired credit card or other reason, and we are unable to charge you on the next billing period, you may not be able to access the applicable Alloy Services until you update your payment method. Where possible, we will provide you with notice when this happens.
3.3. If we are required to collect or pay any taxes in connection with your purchase of a subscription to the Alloy Services, such taxes will be charged to you at the time of each purchase transaction.
3.4. Prices for subscriptions may change from time to time, to reflect inflation, changes in pricing from our licensors, changes to the Alloy Services or changing business needs. Any changes to pricing for the Alloy Services with recurring payments will only apply following reasonable notice to you. If we notify you of a price change with a recurring payment and you do not want to continue to use the Alloy Services at the new price, you can cancel your subscription to the Alloy Services before the start of the next subscription period in which the new price applies.
4. Subscription term
4.1. Your minimum subscription term will be twelve (12) months from the date from which you subscribe as a paid-up Alloy user (“Initial Term”). After the Initial Term, your subscription to the Alloy Services shall automatically continue on a rolling monthly basis until either you or we give the other party not less than thirty (30) days’ notice of their intention to cancel the subscription, such cancellation being effective at the end of that thirty (30) day notice period.
5. Termination of access
5.1. We are entitled to end, or restrict, your rights under these Terms immediately and without notice if you breach these Terms including (without limitation) our Acceptable Use Policy. If we end your rights under these Terms, you must immediately stop all activities authorised by these Terms, including your access of the Alloy Services, and we may permanently ban you from the Alloy Services. Where we end your rights under these Terms as a result of inappropriate behaviours or breach of these Terms, this will result in the termination of your subscription with us and you will not be entitled to a refund in these circumstances.
5.2. Additionally, if you default on any payment, we have the right to:
· terminate your subscription;
· charge you for any outstanding amount remaining on the unexpired portion of your minimum subscription term; or
5.3. We may disable or delete your account and cancel your subscription if, after registration, your account is not confirmed, your account is unused and remains inactive for an extended period of time or if we detect that someone may have accessed or used it without your permission and we are unable to confirm your ownership of the account.
